By accessing, registering for, or using the HubOEM platform ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not use the Platform.
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are strictly responsible for safeguarding your account credentials and must notify us immediately of any unauthorized use of your account. HubOEM is not liable for any loss or damage arising from your failure to protect your account.
HubOEM is a Business-to-Business (B2B) marketplace facilitating the discovery and transaction of OEM parts, services, and technical documents. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Platform strictly for your legitimate internal commercial purposes.
All orders placed through the Platform are subject to availability and formal acceptance by the respective supplier. Prices are listed in USD and are subject to change without prior notice prior to order confirmation. You are solely responsible for the payment of all applicable taxes, shipping costs, and import/export duties associated with your transactions. Returns, refunds, and cancellations are subject to the specific policies of the supplying vendor.
You agree to verify the specifications and compatibility of all parts and services prior to purchase. You further agree to comply with all applicable local, state, national, and international laws, including but not limited to export control laws and regulations, while using the Platform.
All content on the Platform, including but not limited to text, graphics, logos, data compilations, software, and technical documents, is the property of HubOEM or its licensors and is protected by intellectual property laws. You may not scrape, copy, reproduce, distribute, modify, or create derivative works from any platform content without our express prior written consent.
You are expressly prohibited from: (a) reverse-engineering or attempting to extract the source code of the Platform; (b) uploading viruses, malware, or destructive code; (c) using the Platform to facilitate the sale or distribution of counterfeit goods; (d) submitting fraudulent orders or inquiries; and (e) utilizing automated systems (e.g., bots, spiders) to access the Platform. Violations will result in immediate account termination and potential legal action.
The Platform and all related services are provided on an "AS IS" and "AS AVAILABLE" basis. HubOEM expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that any parts or technical documents provided by third-party suppliers are accurate or reliable.
To the maximum extent permitted by applicable law, in no event shall HubOEM, its affiliates, directors, or employees be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total amounts paid by you to HubOEM in the twelve (12) months immediately preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration conducted in Corpus Christi, Texas.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.
